General terms applicable to online sales of services by Paris Ile-de-France CCI, the Chamber of Commerce and Industry of Normandy and Business France.
1.1. These general terms of sale apply exclusively to the sale of the following service: business meetings organized within the framework of the Business Meetings Food Paris 2020 by the Paris Ile-de-France Chamber of Commerce and Industry (Paris Ile-de-France CCI) et Business France, sold via the website available at the following address: https://b2bfoodparis2020.converve.io (hereinafter referred to as the “site”).
2.1. The purpose of these terms is to define the conditions under which Paris Ile-de-France CCI and Business France undertake to sell a service, the content of which is described on, and may be ordered from, the website available at the following address: https://b2bfoodparis2020.converve.io
2.2. They apply regardless of any clauses that might appear in the customer's documents or in its general terms of purchase.
3. Description of service:
The proposed service provides for the organization and planning of a personalized business meeting schedule between participants at the Business Meetings Food Paris 2020. This service consisting in scheduling meetings with purchasers is a personalized service provision adapted to the needs of the suppliers who are the customers of the service provision described here, for the purposes of these terms of sale.
4. Contractual scope
4.1. These terms and, if applicable, the special terms of sale, quotation or order form express the entire agreement between the parties. The parties may not invoke any other document, contract or exchange prior to the confirmation of the order form.
4.2. Where they exist for certain products or services, the special terms of sale clarify or supplement these present terms. In the event of any contradiction between the special terms of sale and the present terms, the provisions of the special terms of sale prevail.
4.3. If any of the provisions of these terms should be declared null and void or unwritten by a competent court, the other terms will remain in full force and will be interpreted to respect the original intention of the parties.
4.4. These general terms may be changed at any time. The applicable terms are those which are available online on the site at the time of the order. The customer acknowledges and accepts them by ticking the box provided for this purpose before confirming their order.
5. Sales documents and scope of the offer
5.1. Access to the site is always ensured, subject to site maintenance and upkeep periods, server updating operations, and any exceptional interruptions.
5.2. Offers and prices are valid only as long as they are visible on the site and while stocks last. If applicable, the customer is informed as soon as possible by post or email of the unavailability of the goods or services ordered.
5.3. The photographs, visuals, and descriptions presented in these sales documents published on the site are not contractually binding. Paris Ile-de-France CCI and Business France cannot be held liable if these include errors.
5.4. In all cases, Paris Ile-de-France CCI and Business France reserve the right to cancel the event if the minimum number of registrations or participants is not reached. The amount paid will be refunded, but no compensation will be due.
6. Price, delivery charges and retention of ownership
6.1. Prices are given in euros, both excluding taxes and all taxes included.
6.2. Paris Ile-de-France CCI and Business France reserve the right to change prices at any time without notice. The applicable price is that which is indicated on the site at the time the order is confirmed.
6.3. The price of the service is set according to the methods specified on the site. Payment is made online, after validation of the meetings requested by the suppliers and accepted by the buyers in question and after confirmation of the meetings between suppliers, by bank card or by transfer. Accepted credit cards are Carte Bleue, Visa, Mastercard, American Express.
6.4. The secure payment platform (in SSL VAD mode) is Mercanet from the BNP-Paribas group. The Mercanet payment system complies with the regulations on distance selling and telepayment. It also complies with the regulations of accepted card networks.
7. Failing payment within 7 calendar days after the close of enrollments, all the meetings of the customer (who ordered the service) will be canceled.
7.1. Contractual information is given in French and, where applicable, in English (only the French version is considered authentic).
7.2. In accordance with the provisions of the French Civil Code relating to the conclusion of contracts in electronic form, the sale is confirmed only after the customer has had the opportunity to check the details of their order and the total price, to correct any errors and confirm their approval.
The customer places an order on the site after having read and accepted the present terms and any special terms of sale that may apply. They are then automatically directed to the Paris Ile-de-France CCI online store to make their payment online.
7.3. Paris Ile-de-France CCI acknowledges receipt of the order by email.
7.4. For invoicing purposes, the customer agrees to provide Paris Ile-de-France CCI with a postal address. Paris Ile-de-France CCI is not responsible for any errors in entering the postal address.
7.5. The invoice may be downloaded in PDF format from a link sent by email to the email address the customer entered when ordering. Exceptionally, a paper copy can be sent at the express request of the customer, if said request is accepted by the Paris Ile-de-France CCI. In the event of a payment by transfer, a paper invoice will be sent once the payment has been cashed.
8. Obligations of the parties
8.1. Obligations of Paris Ile-de-France CCI and Business France
8.1.1. The Business Meetings service offered by Paris Ile-de-France CCI and Business France is an obligation of resources. Specifically, Paris Ile-de-France CCI and Business France undertake to provide all the appropriate human resources and to provide all the care necessary to perform the service
8.1.2. The service is carried out based on the information and documents that the customer has provided to Paris Ile-de-France CCI and Business France in writing, on the site, or during their interviews and face-to-face discussions. They are considered accurate and sincere. Paris Ile-de-France CCI and Business France refuse any liability in case of omission, insufficiency, inaccuracy, or error concerning the information or the documents which the customer shares with them.
8.1.3. In the case of the business meetings, only a default by the purchaser (the company that accepted the appointment for the meeting) after payment has been made by the supplier customer (the company that asked for the meeting) will give rise to the reimbursement of the latter, within the limit of the price of the service.
8.1.4. Should Paris Ile-de-France CCI be held liable, the damages that the customer may claim are limited to the price of the service.
8.1.5. If the health safety conditions do not allow the physical organization of the B2B business meetings from 18 to 21 October, then the organizers reserve the possibility of organizing the meetings remotely.
8.2 Obligations of the customer
8.2.1 The customer agrees to pay the price and to respect the terms and dates of payment mentioned on the site and/or in the special terms of sale and/or in the quotation or the purchase order.
8.2.2 The customer undertakes to provide Paris Ile-de-France CCI with all the means necessary to provide the service. They undertake to arrive at the trade show by their own means, to honor the scheduled appointments, and to provide all information and documents useful to Paris Ile-de-France CCI and Business France when providing the service.
8.2.3 Should the customer's failure to fulfill these obligations make it impossible for Paris Ile-de-France CCI and Business France to perform the services, the resulting termination of the contract shall not give rise to any refund to the customer.
9. Confidentiality and personal data protection
9.1. The information the customer provides to Paris Ile-de-France CCI and Business France is considered strictly confidential as far as it has not been made public by other means. The deliverable(s) made by Paris Ile-de-France CCI and Business France on behalf of the customer is (are) strictly confidential and is (are) the property of the customer. Paris Ile-de-France CCI and Business France agree not to distribute it (them) and not to communicate it (them) to third parties without the customer's explicit agreement, as long as this information is not made public
9.2. The data collected by Paris Ile-de-France CCI and Business France is intended for customer administration and management and for monitoring the provision of the service. No personal information is transferred to third parties for free or for payment.
9.3. In accordance with the French data protection law of 6 January 1978 and the European General Data Protection Regulation (GDPR) of 27 April 2016 No. 2016/679, the customer has the right to contact the Data Protection Officer at the address: email@example.com for any question relating to the management of their personal data with a proof of identity. They can exercise their right of access to their personal data and have it rectified or erased. They also have a right to portability of their personal data. As a last resort, if questions persist, they can contact the CNIL, the French data protection authority.
10. Validity of communication methods and contract archival
10.1. Unless the special terms of sale, the quotation, or the purchase order require a certain form, the customer recognizes the validity and probative value of the emails and the faxes exchanged with Paris Ile-de-France CCI and Business France in the scope of the execution of the contract and assigns them the same value as a letter sent by post.
10.2. Paris Ile-de-France CCI files contracts for a period of ten years. The customer can access the contracts to which they are a party by making a written request at the following address: firstname.lastname@example.org.
11.1 Paris Ile-de-France CCI and Business France may not under any circumstances be held liable if a delay, incorrect performance, or failure to perform the contract is the fault of the customer or is linked to a case of force majeure, in particular a pandemic.
In an event of force majeure and if the operation cannot be implemented by other means or is not accepted by the customer, Paris Ile-de-France CCI undertakes to issue a refund for the amount of the price of the service.
11.2 Paris Ile-de-France CCI and Business France may not under any circumstances be held liable for offers made by the patrons/sponsors of the event.
12. Applicable Law-Competent Courts
All disputes relating to this service and the application or interpretation of these general terms of sale are governed by French law. The courts of Paris are the only courts competent for any disputes that may concerning them.
